Introduction & Parties This Subscription Agreement ("Agreement") is between Get Amplified Marketing, LLC, doing business as Get Reward Flow and MKGflow ("Provider"), and you ("Customer"), whether an individual or entity. By using the Services, Customer agrees to the terms of this Agreement. 2. Services Provider offers marketing automation tools, digital loyalty systems, customer communications, and CRM features ("Services"). These may be accessed through a web portal or client interface. 3. Subscription Term Subscriptions begin on the date of payment and renew automatically based on the chosen billing cycle (monthly/annually). Either party may cancel with 7 daysโ written notice before the next billing cycle. 4. Payment Terms All fees are billed in advance and are non-refundable once access is provided. Overage fees (e.g., messaging credits) may apply. Failed payments result in a 3-day grace period; suspension may follow. Note: Chargebacks without prior support communication may result in account termination. 5. Messaging Compliance (A2P / TCPA / CAN-SPAM) Customer must obtain valid opt-in consent before sending SMS or email messages. All opt-outs must be honored immediately. Registration with A2P 10DLC (for U.S. messaging) may be required. Prohibited content (e.g., SHAFT categories) is not permitted. You agree to fully comply with all applicable laws and indemnify the Provider for any violations, penalties, or carrier fees resulting from misuse. 6. Use Restrictions Customer may not: Resell or sublicense the Services Reverse engineer, clone, or copy the platform Use Services for any illegal, misleading, or harmful activity 7. Intellectual Property All software, tools, and systems are the intellectual property of Get Amplified Marketing, LLC. Customers retain ownership of their branded campaigns and loyalty assets. A non-exclusive license to use the Services is granted during an active subscription. 8. Data Privacy Customer data is owned by the Customer. We process and store this data solely to deliver the Services and follow our Privacy Policy and all applicable data protection laws including GDPR and CCPA. 9. Termination We may suspend or terminate accounts if: Terms are violated Billing fails beyond the grace period Illegal or abusive activity is detected Upon termination, access to customer data is retained for 7 days unless extended by mutual agreement. 10. Limitation of Liability Our total liability is limited to the subscription amount paid in the 30 days prior to a claim. We are not liable for indirect or consequential damages. 11. Indemnification Customer agrees to indemnify and hold harmless Get Amplified Marketing, LLC from any claims related to: Violation of laws or these terms Messaging compliance failures Improper or abusive use of the Services 12. Governing Law This Agreement is governed by the laws of the State of Wyoming. Legal disputes will be resolved in courts located in Sheridan County, WY. 13. Modifications This Agreement may be updated from time to time. Changes will be posted on our website or communicated via email.
